Groupho Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you and Groupho ("we," "us," or "our"), concerning your access to and use of the Groupho website and services.

You agree that by accessing the site and using our services, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are prohibited from using the site and services and must discontinue use immediately.

2. Description of Service

Groupho provides an AI-powered web platform that allows users to create composite group photos by uploading individual photos of people and pets. Our service is designed to generate realistic composite images showing all subjects together in a natural setting. You can include up to 5 people and 1 pet in each generated group photo.

Our standard service is priced at $49.00 per photo generation, which includes multiple variations of your group across different background styles.

We reserve the right to make changes to the service and pricing at any time and without notice. We will not be liable if all or any part of the service is unavailable at any time or for any period.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your account and password, and for any restrictions on access to your computer or device.

You accept responsibility for all activities that occur under your account or password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. User Content and Licensing

By uploading photos or other content to our service, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, and process the information and content you provide through our service, subject to our Privacy Policy.

You represent and warrant that you own or control all rights in and to any content you upload, and that such content does not violate these Terms of Service or any applicable law.

You understand and acknowledge that you are responsible for any user content you submit or contribute, and you, not us, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

Additionally, you acknowledge that we may use your uploaded photos, in anonymized form, to improve our AI models and technology as described in our Privacy Policy.

5. Prohibited Uses

You agree not to use the service:

• In any way that violates any applicable national or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate Groupho, a Groupho employee, another user, or any other person or entity.
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the service, or which, as determined by us, may harm Groupho or users of the service or expose them to liability.

6. Intellectual Property Rights

The service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Groupho and its licensors. The service is protected by copyright, trademark, and other applicable laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Groupho.

7. Payment and Fees

Our standard service is priced at $49.00 per group photo generation. This includes multiple variations of your group across different background styles.

You agree to pay all charges at the prices then in effect for your purchases. You authorize us to charge your chosen payment provider for any such purchases.

Prices for our services are subject to change without notice. We reserve the right at any time to modify or discontinue the service (or any part or content thereof) without notice at any time.

We shall not be liable to you or to any third-party for any modification, price change, suspension, or discontinuance of the service.

8. Refunds

9. Limitation of Liability

In no event shall Groupho, nor its team members, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.

10. Disclaimer

Your use of the service is at your sole risk. The service is provided on an "AS IS" and "AS AVAILABLE" basis. The service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Groupho, its team members, and its licensors do not warrant that: (a) the service will function uninterrupted, secure or available at any particular time or location; (b) any errors or defects will be corrected; (c) the service is free of viruses or other harmful components; or (d) the results of using the service will meet your requirements.

11. Governing Law

These Terms shall be governed and construed in accordance with applicable laws, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the service.
